4.2 Client Intellectual Property

Any intellectual property provided by you or created specifically for you under a separate service agreement remains your property, subject to the terms of that agreement.

4.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes, subject to these Terms.

5. Service Agreements

Specific services provided by CloudZilla Inc are governed by separate service agreements, statements of work, or contracts ("Service Agreements"). In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.

Service Agreements will specify: scope of work, deliverables, timelines, payment terms, intellectual property rights, and other relevant terms specific to the engagement.

6. Payment Terms

Payment terms for our services are specified in the applicable Service Agreement. Generally:

• Fees are due as specified in the Service Agreement
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified
• Prices are subject to change for new engagements

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of our services.

Confidential information includes, but is not limited to: business plans, technical specifications, customer data, financial information, and trade secrets.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties, if any, will be set forth in the applicable Service Agreement.

8.2 Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that our services will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDZILLA INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or related to our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CloudZilla Inc and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of our services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content or data you provide to us.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms or for any other reason we deem necessary.

Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, confidentiality, warranties, and limitations of liability.
